NDA & Initial Discussion
We sign a mutual NDA to protect your client information. You share basic route details (MRR, account count, service areas). Everything stays confidential.
Your client list is never shared until after we have a signed agreement.
Offer & Negotiation
We provide a written offer based on your route's value (typically 8-15x monthly revenue). We'll discuss terms and reach an agreement that works for both of us.
No games, no lowballing. We aim for fair market value and transparent pricing.
Asset Purchase Agreement
Once terms are agreed, we draft a simple Asset Purchase Agreement. Signed electronically via RabbitSign for convenience and legal validity.
This outlines exactly what's being sold, the price, the holdback terms, and all protections for both parties.

We deposit 100% of the purchase price into Escrow.com, a trusted, independent third-party escrow service used by millions.

Close & Transition

We handle all client communication professionally. Transition includes 2 weeks of ride-alongs (service revenue to BlueLux, other services split) plus 2 weeks of phone support.
60-Day Warranty Holdback
15% is held in escrow for 60 days. After 60 days with no unresolved issues, the remaining funds are automatically released to you.
This protects the buyer from undisclosed problems and protects the seller with a defined, limited period.
Important Definitions
"Successful Transfer" Defined
A customer is successfully transferred when they pay the buyer at least once during the warranty period. That's it. One payment confirms the transfer.
"Discontinued Account" Defined
A customer who cancels before paying once, or where the seller made material misrepresentations about the account.
60-Day Warranty Holdback: How It Works
When Holdback Is Used
- •Customer cancels before paying buyer once
- •Undisclosed issues (liens, disputes, billing problems)
- •Material misrepresentation about account value
Remedy: Seller replaces with equal MRR account within 30 days, OR the purchase multiple times that account's monthly rate is deducted from holdback.
When Holdback Is Released
- •60 days pass with no unresolved claims
- •All customers successfully transferred (paid once)
- •No undisclosed issues discovered
Result: Escrow.com automatically releases remaining funds to seller.

This is an asset sale of customer accounts and goodwill, not the sale of a business entity. BlueLux is purchasing the pool service customer list, monthly service agreements, billing history, service records, and non-solicitation rights. The seller is not selling their business entity (LLC, corporation, sole proprietorship, etc.). The seller remains responsible for any liabilities of their business entity.
